Leading global law firm Herbert Smith Freehills has advised Goldman Sachs, as placing agent, on the Hong Kong and US aspects of the US$700 million private placement and issuance of shares of China Jinmao Holdings Group Limited (Jinmao).

Jinmao is a subsidiary of state-owned Sinochem Group, engaging in city operations, property development, commercial leasing, retail operations, hotel operations, finance and services.

The placement comprises approximately 602,340,000 new shares at a price of HK$5.70 per share. These shares account for approximately 5.11% of the existing issued capital of Jinmao and approximately 4.86% of the issued share capital as enlarged by the placing. In addition, Sinochem Hong Kong (Group) Company Limited, Jinmao’s controlling shareholder, subscribed for 349,450,000 new shares at the price of HK$5.70 per share. Proceeds from the placement and subscription will be used for land bidding, debt repayment and the company’s general working capital.

Matt Emsley led the team advising Goldman Sachs on the placement, assisted by senior consultant Jeremy Shen and associate Stephanie Chan. Singapore partner Siddhartha Sivaramakrishnan, and senior associates George Wu and Jin Kong in Hong Kong advised on US securities aspect of this transaction.
