This guide provides an introduction to certain of the UK legal and regulatory requirements which would apply to a takeover of a UK public company. It is divided into three parts:
- Part I provides a brief overview of some of the key requirements of the City Code on
Takeovers and Mergers which the directors should bear in mind at all times; - Part II sets out an overview of the bid process and the legal and regulatory framework
surrounding takeover offers in the UK; and - Part III focuses on a director's responsibilities in the context of a takeover
