Sam has worked in Herbert Smith Freehills’ Melbourne and Perth offices.
Sam has a broad and flexible skillset and has advised clients on a range of domestic and cross border corporate transactions. He specialises in equity capital markets, public and private mergers and acquisitions and venture capital transactions.
Sam has had regular dealings with ASIC, ASX and FIRB and advised on a number of disputes before the Australian Takeovers Panel.
Sam’s experience includes advising:
- Healthscope on its response to the approaches from the BGH-AusSuper Consortium and Brookﬁeld and the successful $4.35 billion scheme of arrangement and simultaneous takeover bid by Brookﬁeld
- Amcor on its US$6.8 billion merger with Bemis Company Inc and redomiciliation to Jersey with an NYSE listing via scheme of arrangement
- Aconex on its $1.6 billion acquisition by Oracle by scheme of arrangement
- Reliance Worldwide Corporation on its IPO
- Inghams on its IPO
Sam holds a Bachelor of Laws and a Bachelor of Arts from Monash University. Sam also holds a Master of Laws from The University of Melbourne.
