Hannah specialises in corporate governance, advising many of Australia’s largest companies on strategic governance matters including directors’ duties, board charters, updating company constitutions, director and senior executive contracts and indemnities and reporting obligations  and regulatory compliance related to the Corporations Act 2001 (Cth) and ASX Listing Rules.

Hannah’s experience includes providing strategic guidance on M&A transactions, IPOs and corporate restructures, ensuring companies are compliant with their various statutory and regulatory compliance requirements.

Hannah provides easy to understand, practical advice and market practice insights that help her clients navigate tricky governance issues with confidence.

As a member of Herbert Smith Freehills’ award-winning Head Office Advisory Team (HOAT), Hannah works closely with clients from across the ASX100 and many of Australia’s largest companies to adopt market leading approaches to governance. Hannah’s clients span all industries and sectors including financial services, insurance, mining, energy and resources, retail, telecommunications, transport and not-for-profits.

Hannah also has extensive background in advising not-for-profit and charitable institutions having previously worked in a senior government regulatory role at the Australian Charities and Not-for-Profits Commission (ACNC).

Background

Hannah is admitted as a Solicitor in the Supreme Court of Victoria and the High Court of Australia.

Hannah is also a non-executive Director of a public benevolent institution which helps combat social isolation and poverty amongst elderly and disadvantaged individuals in Victoria.
