Dinesh advises investment banks, investment funds and corporations on complex, cross-border capital markets transactions.



Dinesh has particular expertise on the US aspects of international securities offerings by non-US issuers, and has over 10 years of experience working with clients in the UK, Europe, the Middle East, Africa and Asia.

He advises on equity capital markets transactions such as initial public offerings, rights issues and secondary share placings and debt capital markets transactions such as bond offerings and structured financings. He also advises on the US aspects of cross-border mergers and acquisitions and on the impact of specific US Securities legislation (such as the Dodd-Frank Act) on non-US issuers.

Dinesh's experience includes advising:

Equity Capital Markets

  • Barclays, Deutsche Bank and J.P. Morgan as joint global coordinators on the €2.864 billion recapitalisation by Eurobank Ergasias
  • Credit Suisse, Deutsche Bank and Goldman Sachs as joint global coordinators on the €1.75 billion equity offering by Piraeus Bank
  • Credit Suisse and Jefferies as joint sponsors and joint global coordinators on the initial public offering and London Stock Exchange listing of Zoopla Property Group
  • Citigroup and Deutsche Bank as joint global coordinators on Damac Real Estate Development's IPO and US$348 million listing on the London Stock Exchange
  • Merrill Lynch International, Citigroup Global Markets Limited and UBS Limited as lead managers in connection with a TRY 1,775 million (£390 million) secondary block placing by Sonera Holdings of the shares of Turkcell Iletisim Hizmetleri pursuant to Regulation S and Rule 144A
  • Cyprus Popular Bank Public Co as seller in connection with a €65.5m accelerated bookbuilt placing of the shares of Bank of Cyprus Holdings pursuant to Regulation S and Rule 144A
  • Jefferies International and Numis Securities in respect of AO World's 9% capital raise of approximately £50m by way of cashbox placing
  • BioPharma Credit on its US$761.9m (£613m) IPO and listing on the Special Fund Segment of the London Stock Exchange

Debt Capital Markets

  • Finansbank on the 2017 update of its US$2 billion Guaranteed GMTN programme (acting for the Dealers) and on its issue of US$750 million 4.875% Senior Notes due 2022 under its US$2 billion GMTN programme (acting for the Managers)
  • United Bank for Africa on its debut $500 million international bond issuance
  • Turkiye Halk Bankasi on its Rule 144A/Regulations S bond offerings listed on the London and Irish Stock Exchanges
