As business vie for the best talent across the world, remuneration and incentives advice is increasingly important.

We work with our clients on their most complex remuneration and incentives issues. We advise listed and unlisted corporates, from start-ups to multinational clients, and LLPs, on the implementation and day-to-day operation of share plans and other employee and partner incentive arrangements, advising throughout the lifecycle of the arrangements, including on corporate actions.

Integral to our client service delivery, our teams advise listed companies and their boards on the complete range of governance issues, including best practice on all aspects of executive remuneration (including shareholder voting powers, reporting requirements and engagement with shareholders). We are also known for financial services remuneration advice, including in the UK on the application of European directives (CRD 4, AIFMD, UCITS and Solvency II), and related UK remuneration codes, to clients' remuneration structures.

Advising on the incentive scheme arrangements in connection with its restructuring from a purely investment company listed on the UK, Australian and New Zealand stock exchanges into a trading company listed on the UK stock exchange including winding up historic complex cash-based bonus plans, implementing new long term incentive share plans and providing support on other ancillary matters such as directors' remuneration reporting and establishing an employee benefit trust to hedge the awards of shares

The impact of cross-border take-overs on share arrangements: we advised PA Consulting on its proposed 51% investment by The Carlyle Group, which valued the company at US$1 billion
