Acting for the breadth of the international market, we help our clients with complex structured financings across multiple asset classes across transport, mining, telecommunications, banking, rail and airports, with a particular focus on aviation finance. Recognised for our expertise in aviation finance we have an impressive portfolio of clients in the aircraft industry and long standing experience which allows us to anticipate and mitigate issues that can arise in the aviation sector.

We have represented equity providers, end-users, sponsors, owners, arrangers, debt providers, residual value providers, defeasance institutions, governments and other participants in transactions covering a diverse range of asset classes. These include aircraft, rolling stock, yellow goods, merchant vessels, various kinds of manufacturing equipment and facilities, telecommunications and transmission facilities, electricity generation equipment and facilities, mail sorting equipment and air traffic control equipment. 

Specifically in relation to aviation finance, we have extensive experience representing airlines, equity providers, sponsors, owners, arrangers, debt providers, residual value providers, defeasance institutions and other participants in a wide range of aircraft finance transactions, including domestic and cross-border debt and finance/capital and operating leases.

Recent Experience

ANZ, National Australia Bank and Bank of America Merrill Lynch

Advising on the US$950 million syndicated master finance lease of mining equipment for Fortescue Metals Group. This is the largest syndicated mining equipment lease financing transaction completed in Australia (CFO Capital Awards Syndicated Loan of the Year)

National Express

Advising in the procurement and related A$800 million off-balance sheet lease financing of new rolling stock following its successful bids for Bayside Trains, Swanston Trams and V/Line Passenger, and in the associated securitisation of the Government supported lease rentals (INSTO Structured Deal of the Year)

Commonwealth Bank of Australia

Advising on leveraged finance and operating leases for various assets, including mining equipment for Leighton Holdings and Felix Resources, merchant vessels for Toll Holdings and rolling stock for the Hillside, Bayside and Swanston rail franchises in Victoria

Virgin Australia

Advising Australian domestic airlines since 2006 in relation to numerous secured debt transactions (including ECA supported debt), aircraft operating lease transactions, aircraft sale and leaseback transactions, aircraft sales, Boeing and Airbus purchase agreements, pre-delivery payment financings, aircraft wet leasing, aircraft subleasing (both intra-group and to a US airline), engine pooling, parts pooling, engine leasing, simulator financing, ground services equipment leasing, power by the hour arrangements, merchant acquiring facilities, receivables facilities and aircraft remarketing arrangements
