International leading law firm Herbert Smith Freehills has advised Diageo, a global leader of beverage alcohol, on the completion of the sale of 100% of Guinness Cameroun S.A., one of the most important brewers in Cameroon, to France’s Castel Group for £389,000,000.

Castel is taking over the production and nationwide distribution of Guinness in Cameroon under a licence and royalty agreement which will enable to support strong growth of Guinness in Cameroon. As part of this M&A transaction, Castel and Diageo have also revamped their licence agreements in place for the distribution of the Guinness products in Benin, Burkina Faso, Chad, Democratic Republic of Congo, Equatorial Guinea, Gabon, Guinea Conakry, Ivory Coast, Mali and Togo.

Herbert Smith Freehills advised Diageo with a team led by partner Hubert Segain, assisted by Martin Dijos, senior associate, Sabine Lee, Arthur Belmer, associates, and Nicolas Meheust on corporate aspects; partner Sergio Sorinas and associates Agathe Esch and Khushbu Kumar on competition aspects; and partner Emma Röhsler on employment aspects.
