A team based in Germany and London has advised investment company Impilo on the acquisition of VivaNeo GmbH, Wiesbaden, Germany. The seller is Waterland Private Equity.

Stockholm-based Impilo has a focus on investing in the Nordic countries and on the health industry including med-tech and pharmaceuticals. In March 2019, Impilo acquired The Fertility Partnership, one of Europe's leading providers of fertility services, ultrasound pregnancy scans and hormone treatments with 10 fertility clinics in the UK and Poland. Herbert Smith Freehills advised on The Fertility Partnership takeover.

Likewise, VivaNeo is one of the leading European providers of fertility services with nine clinics in Austria, Denmark, the Netherlands and Germany, including clinics in Wiesbaden, Berlin and Düsseldorf. The company has around 300 employees. Together, the two companies with 19 clinics in six countries will achieve an annual turnover of around 110 million euros. Impilo is thus consistently pursuing its strategy of building up Europe's leading fertility company.

Herbert Smith Freehills advised on the entire transaction, including the sale and purchase agreement, due diligence, financing and the redemption of the seller's financing.
