Herbert Smith Freehills Corporate partner Caroline Rae has been listed as one of The Lawyer's Hot 100 Dealmakers for 2019. The Lawyer Hot 100 list gathers together the most daring, innovative and creative lawyers in the UK for the past year.

She advises leading corporates and financial institutions on private acquisitions and disposals, recommended and hostile public company takeovers, joint ventures and equity capital raisings, with a particular focus on the financial services sector.

In 2018, one of the most significant transactions Caroline worked on was the £3.4 billion proposed takeover of British shopping centre operator Intu Properties by its bigger, publicly listed rival Hammerson. The deal was particularly challenging as Caroline had to advise Hammerson on a disruptive takeover bid by French group Klepierre during its takeover process of Intu. As The Lawyer described: "Although both bids were eventually abandoned, the intricate work involved and challenges Rae had to overcome under a tight deadline showcased her legal prowess in major public takeovers."

Other major deals Caroline has worked on include advising:

  • ARRIS Group on the $7.4 billion proposed takeover by CommScope, announced in November 2018 and which is expected to close in the first half of 2019
  • Invesco on its acquisition of Intelliflo, the UK's leading provider of advisor-focused digital solutions
  • Willis Group on its acquisitions of Miller Insurance Services LLP and PMI Health Group
  • TSB Banking Group plc on the £1.7 billion takeover by Banco de Sabadell
