Pilar is a senior associate in the finance practice in the Madrid office, specialised in distressed debt.

She advises Spanish and international leading financial institutions and investors on a broad range of finance transactions including real estate and loan portfolio acquisitions and distressed assets trades. Likewise, she specialises in capital market transactions, both equity and debt, including IPOs, rights issues, standalone debt issues and debt programme establishments, updates and drawdowns thereunder.

Background

She has a degree in Law by Centro Universitario Villanueva and the European Business School (EBS) (Spain). She speaks Spanish and English. She is admitted to the Ilustre Colegio de la Abogacía de Madrid (ICAM – Madrid Bar Association).

Prior to joining the firm, she worked in different leading law firms in Spain for eight years.

  • an American multinational investment management and financial services company on a complex transaction involving (i) the acquisition of a mortgage loan portfolio from Banco Santander represented by mortgage transfer certificates (CTHs) with an estimated outstanding value of €700 million; (ii) the incorporation of a private securitisation fund for the securitisation of the mortgage transfer certificates and (iii) the public securitisation Clavel Residential 2 RMBS 2022 backed by the issue of Spanish bonds, as arranger (Project Macondo)
  • an American multinational investment management and financial services company on a complex transaction involving (i) the secondary acquisition of a mortgage loan re-performing portfolio originated by BBVA represented by mortgage participations (participaciones hipotecarias or PHs) and (ii) the 2022 international securitisation Clavel Residential DAC RMBS backed by the acquired loan portfolio, as arranger (Project Ceos)
  • Aventicum Capital Management and Cygnus Capital, as purchasers, on the acquisition from SAREB of a portfolio comprising approximately 1,200 REOs through a Spanish banking assets fund (fondo de activos bancarios, FAB) (i.e., a securitisation vehicle specifically created to aid the divestment mandate of SAREB) (Project Esla)
  • an international investment bank, as lender, on the English and Spanish law aspects of the financing granted to TPG (via Témpore Properties SOCIMI) for the acquisition of a real estate portfolio (Project Yoda)
  • Pepper Assets Services, as originator and as issuer, on the public English law securitisation financing of a Spanish consumer loan portfolio by virtue of the issuance of notes for a total amount of €227,4 million to an Irish vehicle and notified as STS under the Securitisation Regulation (Project Aji 2022)
