Herbert Smith Freehills is advising Altran Technologies, a world leading provider of Engineering and R&D services, with a portfolio of high-profile clients, extensive sector expertise and in-depth understanding of industrial business processes and operational technologies, on the sale to Capgemini, a world leader in consulting, IT services and digital transformation.

Capgemini and Altran Technologies have entered into exclusive negotiations in connection with the proposed acquisition of Altran Technologies by Capgemini, through a friendly takeover bid for a price of €14 (ex-2018 dividend of €0.24) per share. The proposed transaction has been unanimously recommended and approved by the Boards of Directors of Capgemini and Altran Technologies. In addition, Capgemini has signed a definitive agreement to acquire an 11%-stake in Altran Technologies from a group of shareholders led by Apax Partners.

The transaction values Altran Technologies at approximately €5 billion (enterprise value).

Completion of this combination is expected by the end of 2019.
