Experience

Miles specialises in project finance but has had a broad-ranging career across a variety of infrastructure and related transactions. He has significant international experience, having worked in New York with Babcock & Brown and the Freehills NY office. 

Through his experience on the client side (Babcock & Brown and secondments with AustralianSuper and Transurban), he has perspective on what clients want and how their lawyers can help. He is experienced in acting for project sponsors and financiers and uses this experience to drive the parties to a position that is commercially acceptable for both sides.

Miles is quick to understand complex issues and can produce creative solutions that are commercially workable for lenders and borrowers. 

Miles has expertise in all aspect of project finance and corporate finance documentation, security law, financing structures, complex derivative structures and documentation as well as significant experience with project documents such as Project/Concession Agreements, EPC and O&M contracts and PPAs.

In addition to the legal expertise that is taken for granted by clients, Miles understands and can converse with clients on the financial concepts and structures, as well as project-specific technical issues (reflecting his undergraduate training as a civil engineer).
Miles understands how project finance and other types of finance fit into a company’s capital structure, and the commercial drivers of the parties.

He is especially proficient and enjoys the challenge where there is no precedent or particular market tested solution for a particular issue, analysing the issues from a first-principles basis and then bringing together the necessary stakeholders to reach a mutually beneficial outcome.

Miles’ experience includes advising:

  • The financiers to the largest Public Private Partnership (PPP) in Australia, and the first PPP in the market to feature Alliance contracting principles; the A$11.1 billion North-East Link PPP in Victoria.
  • Project Symphony and Project Archie – Acting for lenders to the OMERS-led consortia in their bids for the Optus/ATN and Axicom towers businesses.
  • APG in its $2bn acquisition of a 16.8% stake in Ausgrid.
  • Infranexus in its refinancing of the Praeco Defence Headquarters – Joint Operations Command PPP project in NSW.
  • QCLNG: IFM Investors’ financiers involved in its bid for common assets acquisition transaction relating to the QCLNG project.
  • WestConnex: The IFM/APG consortium in relation to the financing involved in its bid for the WestConnex road PPP (tranche 1 and 2).
  • Keppel Infrastructure Trust/ Basslink in the USPP refinancing for Basslink.

 

Background

Miles holds both a Bachelor of Engineering (with Honours) degree and a Bachelor of Laws (with Honours) degree from the University of Melbourne. Miles is admitted to practice in Australia and New York.
