Alumni Network Terms

These Alumni Network Terms set out the terms and conditions applicable to your membership of and participation in the Alumni Network, being access to Herbert Smith Freehills Alumni events, website and publications, the opportunity to share your career success with the network, and ability to connect with former colleagues and current Herbert Smith Freehills employees.  The network is provided by or on behalf of Herbert Smith Freehills LLP and its affiliated and subsidiary businesses and firms including Herbert Smith Freehills (an Australian Partnership) (‘we’, ‘our’, ‘us’), including the alumni website at www.herbertsmithfreehills.com/alumni.

Eligibility

You are eligible to be an Alumni Network member if you are a former partner or staff member of ours. We reserve the right to refuse access to any person in our absolute discretion. Former staff who were on contracts of less than three (3) months may not be eligible.

Registration

In order to join the Alumni Network you must first complete the registration process on the alumni website. In doing so you must provide accurate, current and complete information.  You should update your information when it becomes outdated by letting us know via the website or other means.

Privacy

Your membership of, and participation in, the Alumni Network is subject to our Privacy Policy, which is a part of, and incorporated into, these terms and conditions. The Privacy Policy provides information on our collection, use, disclosure and other handling of your personal information.

We collect personal information through your registration and other use of the alumni website, our records of your time with us, publicly available information, and information provided from time to time by other Alumni Network members. We collect personal information such as your email address, information about your current employment and basic details of your time with us. You will have the option to provide more personal information such as information about your professional qualifications and information about your preferences and engagement with the network.

We use this information to customise the content we deliver on our website and in publications, to connect you with other alumni and to contact you (by email and other means) about our alumni and firm news and events (and to organise such events), unless and until you use the "unsubscribe" option in the email or other material.

We will have a photographer at many of our events.  You will be provided an opportunity to let us know if you do not want your photograph included in any publication in relation to the event or the Alumni Network.

You can update your personal information and raise privacy concerns by contacting us via your usual contacts, or by using the methods described in our Privacy Policy.

We will retain your personal information for as long as is reasonably necessary in the circumstances.  You may instruct us to delete your information at any time.

The alumni website is operated by Herbert Smith Freehills and data provided to us pertaining to your personal details are held in InterAction, our firm’s client database system.

Your content provided for publishing

The following provisions apply where you choose to provide us with any text, data, software, music, sound, photograph, graphics, video or other materials (‘Your Content’) for inclusion in any publication (including without limitation our alumni magazine, the alumni website and our HSF website).

Unless you and we agree to the contrary, any such provision of Your Content will be on the following terms:

  • You will ensure that Your Content does not include any content which: (a) is inaccurate, illegal, misleading, out-dated, incomplete or invasive to another person’s privacy or protected data; (b) infringes or is alleged to be infringing upon a third party's intellectual property rights or moral rights; (c) contains unsolicited, undisclosed or unauthorised advertising; (d) contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any software or hardware; and (e) includes any information or personal data in relation to any third party without their express prior consent.
  • We accept no responsibility for third party use of Your Content where it has been retrieved by a third party from any publication.
  • Whilst under no obligation to do so, we retain the right to review, edit, and remove any information whatsoever from any publication at any time and without notice to you.  For the avoidance of doubt, we have no obligation to display or publish Your Content.
  • By providing us Your Content, you grant us a non-exclusive, worldwide, royalty free, perpetual, irrevocable, fully transferable, assignable and sub-licensable right and licence to use Your Content in connection with the Alumni Network and the alumni website and other HSF alumni‑related publications, including, without limitation, the rights to copy, distribute, transmit, reproduce, edit, translate and reformat Your Content.

The above provisions do not override the terms of our Privacy Policy nor the terms above under the Privacy section which detail our handling of personal information.

General

We reserve the right to amend these terms from time to time and will notify you of any such amendment by posting the updated terms to the alumni website. Any changes take effect from that time.

You agree and acknowledge that we do not endorse or monitor content accessible from third party websites linked to the alumni website and we are not liable and do not accept any responsibility for any damage or loss you may suffer arising in connection with accessing such websites.

If any provision of these terms is invalid under the law of any jurisdiction, the provision is enforceable in that jurisdiction to the extent that it is not invalid, whether it is in severable terms or not.

Our rights under these terms: (a) are cumulative and not exclusive of rights or remedies provided by law; and (b) may be waived only in writing (delay in the exercise or non-exercise of any such right is not a waiver of that right).

Nothing in these terms gives a party authority to bind the other party in any way, creates a relationship of agency or partnership or imposes a fiduciary duty on a party in relation to the other party.

The law applicable to these terms, the Alumni Network, alumni website and the use of Your Content and our content and to disputes arising out of them, is the law of England and Wales.

Nothing on the alumni website, the documents available through it, nor our other alumni‑related publications constitutes legal or other professional advice.
