Our international US securities practice

In our London, Beijing, Hong Kong, Moscow and Singapore offices, we employ US-qualified attorneys to be part of our corporate practice. In each of these offices, we have a team of US-qualified securities attorneys that advises on a full range of cutting-edge corporate transactions, with particular expertise in large international capital markets transactions (including equity, equity-linked, investment grade and high-yield debt offerings), as well as cross-border mergers and acquisitions.

We have advised the world’s top investment banks, including Citi, Credit Suisse, Deutsche Bank, Goldman Sachs, JP Morgan, Morgan Stanley and UBS.

We have advised on deals in many different countries, including Australia, Canada, China, France, Germany, Hong Kong, India, Indonesia, Ireland, Italy, Kuwait, Malaysia, the Netherlands, Russia, Singapore, South Africa, Spain, Sweden, Switzerland, Taiwan, Thailand, the Ukraine, the United Arab Emirates, the UK and the US.

US securities transactions


We will give you the opportunity to work on a variety of high-profile corporate finance transactions for the world’s leading investment banks and companies from a diverse range of jurisdictions and industry sectors.

Here is a flavor of the work we do and the clients we act for:

  • We advised Lonmin, one of the world’s leading mining companies, on its US$817 million rights issue and related renegotiation of its existing debt facilities. Lonmin is listed on the London and Johannesburg stock exchanges. The proceeds of the rights issue were applied to repay the Group’s existing debt and triggered amendments to the Group’s existing debt facilities, which significantly strengthened Lonmin’s financial position. The transaction highlights our strong reputation and experience in the London-listed company community, where we are consistently ranked in the top-5 law firms by total number of FTSE100 and FTSE 250 clients.
  • We acted as underwriters counsel to UBS, China International Capital Corporation, JP Morgan, Deutsche Bank, Agricultural Bank of China International and Haitong International on the US$509 million initial public offering of Shanghai Fosun Pharmaceutical Group on the main board of the Hong Kong Stock Exchange. The was one of the few significant new listings in Hong Kong in 2012 and underlines our reputation for advising the world’s leading investment banks on headline equity capital markets transactions.
  • We acted as international underwriters counsel to Barclays and İş Yatırım on the US$330 million IPO and Istanbul Stock Exchange listing of Pegasus Airlines, Turkey’s second largest airline. The transaction represents the latest in a series of Turkish capital markets transactions on which we have advised and helps consolidate our reputation as one of the leading advisers in the Turkish capital markets. In recent years, we have advised on numerous offerings by Turkish issuers, including those by AKLease, Aksa Enerji, Bizim Toptan Satış Mağazaları, Finansbank and Halkbank.
  • We acted for the vendor in connection with the Government of India’s US$2.14 billion stake sale in National Thermal Power Corporation (“NTPC”). NTPC is India’s largest power generation company and accounts for a fifth of the total generation capacity in Asia’s third-largest economy. The transaction showcased our team’s extensive familiarity with cross- border Indian capital markets transactions, together with the regulatory requirements and the wider Indian legal regime applicable to transactions of this nature.
  • We advised Vnesheconombank (“VEB”), the principal development bank of the Russian Federation, on its US$1 billion Eurobond offering listed on the Irish Stock Exchange. The deal follows our advice to VEB on its CHF500 million bond offering in 2011 and is the latest in a series of capital markets transactions on which our London and Moscow teams have jointly advised. Such transactions include advising on the recent offerings by Alfa Bank and Dixy Group.
