Lloyds Banking Group's (Lloyds) Hugh Pugsley, General Counsel, Group Legal, Caroline Rollestone-Brown and Marcos Nunez Maira of Lloyds’ Corporate and M&A team led the legal team for Lloyds, together with Herbert Smith Freehills, on the sale of Scottish Widows Investment Partnership (SWIP) to Aberdeen Asset Management (Aberdeen) for an initial consideration payable in Aberdeen shares with a value of approximately £560 million, and a further deferred consideration, payable in cash, of up to £100 million. As part of the transaction, Lloyds will enter into a long-term strategic asset management relationship, whereby Aberdeen will manage assets on behalf of Lloyds, on which Chris Muir, Lloyds’ Interim General Counsel, Insurance and Investments advised Lloyds’ Insurance business.
